These Terms of Sale & Use (the “Terms”) form a legal agreement between you and Links Medical Products, Inc. (“Company,” “we,” “us,” or “our”), a company organized under the laws of the United States with its principal place of business at 15979 N 76th Street, Suite D, Scottsdale, AZ 85260, United States. By accessing this website or placing an order for Silent Knight® products, you agree to be bound by these Terms. If you do not agree, do not use the site or order our products.
1. Eligibility & professional use
The site and our products are intended for businesses, healthcare professionals, caregivers, and other adults aged 18 or over. Our devices are professional medical devices intended to be used in accordance with their Instructions for Use and applicable clinical guidance. By ordering, you represent that you are legally able to enter into this agreement and that any device will be used for its intended purpose.
2. Orders, pricing & payment
- All orders are offers to purchase and are subject to acceptance by us. We may decline or cancel any order at our discretion, including where products are unavailable or where we suspect error or fraud.
- Prices are shown exclusive of taxes, duties, and shipping unless stated otherwise. We may correct pricing or typographical errors even after an order is submitted.
- For international orders, the buyer is responsible for all import duties, customs charges, VAT/GST, and other taxes levied by the destination country.
- Payment must be received (or approved credit terms agreed) before products are dispatched.
3. Shipping, title & risk of loss
Delivery timeframes are estimates only. Unless otherwise agreed in writing, title and risk of loss pass to you upon our delivery of the products to the carrier. Please review our Shipping & International Orders policy, which is incorporated into these Terms.
4. Product availability & regional restrictions
Certain products are available only in specific regions. Some Silent Knight products (including the ProShield HD SK800 and HD Safety Seal) are offered in North America only and may not be available for sale or shipment elsewhere. We make no representation that all products are appropriate or available for use in every location.
5. Intellectual property & trademarks
The Silent Knight® name, logos, product designs, site content, text, graphics, and software are owned by or licensed to the Company and are protected by intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.
6. Acceptable use of the website
- Do not use the site for any unlawful purpose or in violation of these Terms.
- Do not attempt to gain unauthorized access to, interfere with, or disrupt the site or its servers.
- Do not scrape, harvest, or misuse content or personal data obtained from the site.
7. Disclaimer of warranties
Except for any limited written product warranty we expressly provide with a device, the website and all products and content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the site will be uninterrupted, secure, or error-free, or that any product is suitable for crushing or preparing any particular medication. 8. Limitation of liability
To the maximum extent permitted by applicable law, in no event will the Company, its affiliates, officers, directors, employees, suppliers, or distributors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the site or any product, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or relating to the site or any product will not exceed the amount you actually paid to us for the product giving rise to the claim (or, where no payment was made, USD $100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in such cases our liability is limited to the smallest amount permitted by law.
9. Assumption of risk
You are responsible for determining whether any medication is suitable for crushing and for the safe handling, preparation, and administration of medications. You assume all risk arising from the use of our products and from any decision to crush, grind, seal, or administer medication.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the site or products, or your violation of any law or the rights of any third party.
11. Export compliance
You agree to comply with all applicable export control and sanctions laws, including those of the United States. You may not export or re-export products in violation of such laws, and you represent that you are not located in, or a national of, any embargoed country or on any restricted-party list.
12. Governing law & dispute resolution
These Terms are governed by the laws of the State of Arizona, United States of America, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. You agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona for any dispute not subject to arbitration, and you waive any objection to venue there. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
13. Force majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, carrier delays, supply shortages, or governmental action.
14. Changes & severability
We may update these Terms from time to time. Changes are effective when posted, and your continued use of the site or ordering of products constitutes acceptance. If any provision is held unenforceable, the remaining provisions remain in full effect. These Terms, together with the policies referenced here, constitute the entire agreement between you and the Company regarding their subject matter.
